These Terms of Use constitute a legally binding agreement made by and between Ricoh Canada Inc. (“RICOH”) and you, whether personally or on behalf of an entity (“you”). These Terms of Use govern your use of the RICOH web site, so please read them carefully.

Registration on this Site

If you chose to register on this Site or any related RICOH website, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify RICOH immediately of any unauthorized use of your account or any other breach of security. 3. RICOH may change and / or alter the contents of the Site, or may suspend or discontinue the Services provided through the Site at any time without any prior notice. NEITHER RICOH NOR ANY OF ITS AFFILIATES SHALL BE LIABLE FOR ANY DAMAGES ARISING OUT OF ANY ALTERATION OR CHANGE OF THE CONTENTS OR INABILITY TO USE THE SITE.

Dispute Resolution

All disputes arising out of these Terms of Use (including its formation, performance or alleged breach) or your use of the RICOH web site will be exclusively resolved under confidential binding arbitration held in Ontario. The arbitrator’s award will be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms of Use will be joined to an arbitration involving any other party subject to these Terms of Use. Notwithstanding the foregoing, RICOH will have the right to seek injunctive relief or equitable relief in Ontario or Federal Court to enforce these terms or to prevent an infringement of a third party’s rights. In the event that injunctive or equitable relief is sought, each party hereby irrevocably submits to the personal jurisdiction of the court. The prevailing party in any dispute is entitled to its reasonable attorney’s fees and costs from the non-prevailing party.

By entering into these Terms of Use, you hereby irrevocably waive any right you may have to join claims with those of others in the form of a class action or similar procedural device. Any claims arising out of, relating to, or connected with your use of the RICOH web site must be asserted individually.

You acknowledge and agree that, regardless of any statute or law to the contrary, any claim or cause of action you may have arising out of, relating to, or connected with your use of the RICOH web site, must be filed within one calendar year after such claim or cause of action arises, or forever be barred.

Termination

RICOH will have the right in its sole discretion, for any reason or no reason at all, without notice or liability to you or any third party, to terminate your access to the RICOH web site, with or without cause.
